Facedrive Announces Additional Private Placement of Units

TORONTO–(BUSINESS WIRE)–Facedrive Inc. (“Facedrive” or the “Company”) (TSXV: FD) (OTCQX: FDVRF), a Canadian “people-and-planet first” tech ecosystem, is pleased to announce that it is proposing to complete a new private placement on a non-brokered basis (the “Private Placement”) as a result of additional investor interest arising from the Company’s previous private placement, which closed on March 1, 2022 on similar terms for aggregate gross proceeds of $4.7 million. Pursuant to the Private Placement, the Company intends to raise up to $15 million in aggregate gross proceeds by issuing up to approximately 25,423,729 units (the “Units”) at a price of $0.59 per Unit.

Each Unit will consist of one common share of the Company (a “Share”) and one common share purchase warrant (a “Warrant”). Each Warrant will entitle the holder thereof to acquire one additional Share (a “Warrant Share”) at a price of $0.73 per Warrant Share for a period of 36 months from the date of issuance, subject to customary adjustment provisions.

The Company intends to use the net proceeds from the issuance of the Units for general business development activities and general working capital purposes.

The closing of the Private Placement, which the Company currently anticipates will occur in one or more tranches on or about March 31, 2022, is subject to the approval of the TSXV. All securities that are issued pursuant to the Private Placement will be subject to, among other things, a hold period of four months and one day in accordance with applicable Canadian securities laws.
